Registering a company is usually the first formal step in starting a business in India, and it sets the legal and tax foundation everything else builds on. Here’s a practical walkthrough of what the process actually involves.

India’s most common structures are a Private Limited Company, a Limited Liability Partnership (LLP), and a One Person Company (OPC). A Private Limited Company is the most common choice for businesses planning to raise investment or scale a team, since it offers limited liability and is the structure most investors expect. An LLP suits professional services or partnerships wanting liability protection without the compliance overhead of a full company. An OPC is designed for a single founder wanting limited liability without bringing in partners.
Company registration in India is filed electronically, so each proposed director needs a Digital Signature Certificate to sign documents online, along with a Director Identification Number issued by the Ministry of Corporate Affairs.
The proposed company name is checked against existing registered names and trademarks through the MCA’s name reservation service, to confirm it’s available and doesn’t conflict with an existing entity.
This is the core registration step: filing the company’s Memorandum of Association (MOA) and Articles of Association (AOA), which set out the company’s objectives and internal governance rules, along with the incorporation application itself.
Once approved, the Registrar of Companies issues a Certificate of Incorporation, along with the company’s Corporate Identification Number (CIN) — at this point the company legally exists.
Post-incorporation, the company needs a Permanent Account Number (PAN) and Tax Deduction and Collection Account Number (TAN), plus GST registration if applicable to the business.
Having your proposed directors’ identity and address proof, a clear business objective for the MOA, and a registered office address sorted out in advance meaningfully speeds up the process. Company registration itself typically takes a few weeks once documents are in order, though this varies case to case.
